Terms of Service

These Terms of Service ("Terms") govern your use of the CapitalBridge platform operated by Proceptio Ltd ("we", "us", "our"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

Definitions

• Platform: The CapitalBridge web application, APIs, and related services hosted at capitalbridge.app
• Customer: The organization that enters into a subscription agreement with Proceptio Ltd
• Counterparty: A portfolio company, borrower, or external entity granted access to submit data through the platform
• Data: All information, documents, financial metrics, and records entered into or generated by the platform
• Submissions: Documents uploaded and financial data entered by Customers or Counterparties in response to reporting requirements

Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Customer administrators are responsible for managing user accounts within their organization, including granting and revoking access for Counterparty users. You must notify us immediately at info@proceptio.com if you become aware of any unauthorized use of your account.

Acceptable Use

You agree to use the platform only for lawful purposes related to portfolio compliance management. You may not:

• Attempt to gain unauthorized access to other accounts or platform infrastructure
• Upload malicious software, viruses, or any code designed to disrupt the platform
• Reverse engineer, decompile, or disassemble any part of the platform
• Use automated scripts or bots to access the platform without prior written consent
• Share your account credentials with third parties or allow unauthorized users to access the platform

Data Ownership

You grant us a limited, non-exclusive license to process, store, and display your Data solely for the purpose of providing the platform services. We will not share, sell, or use your Data for any purpose outside the scope of delivering the CapitalBridge platform to you. Upon termination, you may request a full export of your Data in standard formats (CSV, Excel, PDF).

Service Availability

We aim to maintain platform availability of 99.9% uptime, measured monthly, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. We are not liable for downtime caused by force majeure events, third-party service outages, or circumstances beyond our reasonable control.

Intellectual Property

The CapitalBridge platform, including its source code, design, user interface, documentation, and all related materials, is the exclusive property of Proceptio Ltd and is protected by intellectual property laws. Your subscription grants you a non-exclusive, non-transferable right to use the platform for the duration of your subscription term.

Limitation of Liability

To the maximum extent permitted by applicable law, Proceptio Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the platform.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the claim.

Termination

Either party may terminate the subscription by providing 30 days written notice before the end of the current billing period. We may suspend or terminate your access immediately if you violate these Terms or engage in conduct that threatens the security or integrity of the platform.

Upon termination, your right to access the platform ceases. We will retain your Data for 90 days to allow for export requests, after which it will be permanently deleted. Sections regarding Data Ownership, Limitation of Liability, and Governing Law survive termination.

Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Ireland.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before they take effect. Continued use of the platform after changes become effective constitutes acceptance of the revised Terms.
